SRL - via lawyer

Hand the paperwork to a lawyer or a company-formation service. It costs more than doing it yourself, but you mostly prepare a short brief and sign. Good if your time is worth more than the fee.

Step by step

Find a lawyer or service. Pick a lawyer, consultant or company-formation service. Ask what is included (name reservation, capital deposit, fees) and the total cost up front.

Send the brief. Send them what they need to start: your three name options, the CAEN codes (see CAEN Codes for GameDev), the registered office address, your ID, and the bailment contract (comodat). The clearer the brief, the faster they move.

Read and sign. The provider prepares the documents. Read them carefully, then sign what is required, in person or with a qualified digital signature.

Save your CUI and J number. Once registration is done, store them in My Business Data.

What I signed

When I worked with a lawyer, my part of the work was basically to read and sign. Concretely, I signed:

  • the articles of association;
  • the annex on personal data processing;
  • the declaration on activity at the registered office (art. 359/2004);
  • the declaration on beneficial owners;
  • the declaration that the operating conditions are met;
  • the signature specimen.

The lawyer prepared all the documents, and I only checked and signed them. The exact list can differ from one case to another, but these are the typical documents you will run into.
