SRL incorporation document templates

Example documents you can start from when registering an SRL. They are samples, not legal advice. Adapt them to your situation and confirm anything you are unsure about with a lawyer or ONRC.

Articles of association (act constitutiv)

The founding document of the company: associates, administrator, share capital, registered office and the declared activities. ONRC also publishes official model templates for single-associate and multi-associate SRLs.

Bailment contract (contract de comodat)

Proof of your right to use the space as the registered office, when you are not the owner or when you lend a space to the company. For an apartment in a block, you may also need the owners' association or neighbours' approval.

Name reservation request

The request you file to reserve the company name. List three options in order of preference; ONRC reserves the first one that is free.
